Terms of Service

These terms govern your use of Colloquent. They are an agreement between your business (“you”) and Syslice Technologies Private Limited (“we”, “us”). By creating an account or using the service you accept them.
1. The service
Colloquent is a messaging platform built on Meta’s WhatsApp Business Platform. We are an independent Tech Provider. We are not Meta, we do not control WhatsApp, and the availability, pricing and policies of the underlying platform are Meta’s.
Using Colloquent also means accepting Meta’s terms for the platform, including the WhatsApp Business Terms of Service, the WhatsApp Business Messaging Policy and the WhatsApp Commerce Policy. Where those conflict with anything here, they prevail.
2. Your account
- You must give accurate registration details and keep them current. We verify business details before approving an account, and we may refuse an application without giving reasons.
- You are responsible for everything done under your account, including by your team members, and for keeping credentials secure.
- You must be legally able to enter this agreement and to operate the business you describe.
3. Your WhatsApp number stays yours
You connect your own WhatsApp Business Account through Meta’s Embedded Signup. The account, the number and the message templates belong to you. You may disconnect from Colloquent at any time, either in-product or from Meta Business Settings, and we will not obstruct it.
4. Acceptable use
The Acceptable Use Policy forms part of these terms. Breaking it is the one thing that gets an account suspended immediately rather than after notice, because the harm falls on every other business sharing the platform.
5. Fees, billing and taxes
- Fees are those on your order or plan. Meta charges separately for conversations; we pass those through at the rates Meta publishes, and your invoice shows them separately from our platform fee.
- Invoices are payable within the period stated on them. Unpaid invoices lead to a dunning sequence and eventually to suspension of sending.
- Prices are exclusive of taxes. Where we are required to charge GST or any other tax we will do so and show it separately on the invoice, and exports are handled under the provisions that apply to them.
- Wallet balances and prepaid credits are covered by the Refunds & Cancellation policy.
6. Data protection
For conversation data you are the controller and we are your processor. We process it on your instructions, keep it in a database isolated from other customers, and do not use it for any purpose of our own. The Privacy Policy and Sub-processors pages describe this in detail and form part of these terms.
You are responsible for having a lawful basis to message the people you message, and for responding to their rights requests. We will assist you, and we will act on a request sent directly to us as described in Data deletion.
7. Availability and support
We aim for high availability but do not guarantee uninterrupted service on standard plans. Planned maintenance is notified in advance where practical. Any specific service level applies only if it is written into your order.
8. Suspension and termination
- You may close your account at any time by writing to [email protected] from an account owner address.
- We may suspend immediately for a breach of the Acceptable Use Policy, for non-payment after the dunning sequence, for a legal requirement, or where Meta restricts or bans the underlying account.
- On termination we disconnect your numbers, and delete your data as described in Data deletion. Invoices and tax records are retained for the period the law requires.
- You can export your contacts and message history before closing. Ask and we will provide it.
9. Intellectual property
We own Colloquent and everything in it except your data, which stays yours. You own your content, your contacts and your templates, and you grant us only the licence needed to run the service for you.
10. Warranties and liability
The service is provided “as is” to the extent the law allows. We are not liable for indirect or consequential loss, for loss of profit, or for anything caused by Meta suspending, restricting or changing the underlying platform. Our total liability in any twelve-month period is limited to the fees you paid us in that period. Nothing here limits liability that cannot lawfully be limited.
11. Changes
We may change these terms. Material changes are notified by email to account owners at least 30 days before they take effect. Continuing to use the service after that is acceptance.
12. Governing law
These terms are governed by the laws of India. The courts at Jhunjhunu, Rajasthan have exclusive jurisdiction, subject to any mandatory consumer protection in your own country.
